Welcome to Proofts (“Company”, “we”, “us”, “our”). These Terms & Conditions (“Terms”) govern your use of our website, quote requests, and door hanger design, printing, and delivery services (collectively, the “Service”). By requesting a quote or using our Service, you (“Client”, “you”, “your”) agree to these Terms.

If you do not agree, please do not use our Service.

1. Services Provided

Proofts offers door hanger design, printing, and delivery within the state of Texas. Our standard packages include:

  • 50, 100, or 250 door hangers per weekly delivery

  • Optional design service (if requested)

  • Delivery with timestamped, geotagged photo proof (level of proof depends on package selected)

  • Optional QR code generation and integration (additional fee)

We deliver only to residential addresses within our current service area (major Texas metros). We reserve the right to decline delivery to specific addresses (e.g., unsafe areas, properties without a door knob or hanger-friendly surface).

2. Quotes & Acceptance

All quotes are valid for 14 days from the date of email. A quote is not a contract until you provide written approval (email or signed form) and we confirm acceptance. We reserve the right to adjust a quote if the final target zip codes, quantity, or design complexity differ significantly from your initial request.

3. Client Responsibilities

You agree to:

  • Provide accurate target zip codes and delivery instructions

  • Ensure any design you supply is print-ready (minimum 300 DPI, CMYK color mode, no copyrighted material without permission)

  • Obtain all necessary rights, licenses, and permissions for any logos, images, or text you provide

  • Not use our Service to distribute illegal, offensive, deceptive, or harmful content (e.g., false advertising, hate speech, scam offers)

We may refuse to print or deliver any door hanger that we reasonably believe violates this section. No refund will be issued in such cases.

4. Design Services

If you purchase our design service:

  • We will provide up to 2 free revisions. Additional revisions cost $25/hour.

  • Final design files remain our property until full payment is received. Upon payment, you receive a non-exclusive license to use the design for your own marketing. We may display the design in our portfolio unless you request otherwise.

  • You are responsible for reviewing the proof carefully. Once you approve the design in writing, we are not liable for any errors (e.g., wrong phone number, misspelled words).

5. Delivery & Photo Proof

We deliver door hangers Monday through Saturday (excluding major holidays). Our delivery guarantee:

  • We attempt to hang every door hanger on the front door knob or handle.

  • If a door has no knob/handle, or if access is blocked (gate, dog, unsafe condition), we will take a photo of the property’s front entrance and note the reason.

  • Photo proof: Depending on your package, you receive timestamped, geotagged photos at a specified frequency (e.g., 1 photo per 10 doors, 1 per 5 doors, or every door). Photos are uploaded to a private Google Drive folder or sent via email within 24 hours of delivery completion.

  • We do not guarantee that every resident will see or act upon your door hanger. Our obligation is delivery and documentation only.

Force majeure: We are not liable for delays or failures caused by weather, natural disasters, strikes, government actions, or other events beyond our reasonable control.

6. QR Code Service (Optional)

If you purchase our QR code add-on:

  • We generate a dynamic QR code that can be edited to point to a different URL at any time (you must request changes via email).

  • You receive a dashboard link (via our third‑party provider) to view scan analytics (time, location, device type).

  • We are not responsible for the content of the destination website or social media page.

  • QR codes are printed as part of the door hanger design. We do not guarantee scan rates; scanning depends on user behavior and phone quality.

7. Payments & Fees

  • All prices are in US dollars and exclude Texas sales tax, which will be added where required by law.

  • Payment is due before printing and delivery unless we agree otherwise in writing.

  • We accept credit cards, bank transfers, and (for recurring clients) net‑15 terms with approved credit.

  • Late payments incur a 1.5% monthly interest charge (or the maximum allowed by law) plus any collection costs.

8. Cancellations & Refunds

  • You may cancel an order before we start printing for a full refund (minus any design work already performed, billed at $40/hour).

  • Once printing has begun, no refunds are available.

  • If we fail to deliver at least 90% of your door hangers (excluding documented access issues), we will either re‑deliver the missing portion at no extra cost or issue a pro‑rated refund for the undelivered hangers.

  • No refunds are given for dissatisfaction with response rates or sales results – our service is delivery and proof, not performance marketing.

9. Limitation of Liability

To the maximum extent permitted by Texas law:

  • Our total liability to you for any claim arising from these Terms or our Service shall not exceed the amount you paid for the specific order giving rise to the claim.

  • We are not liable for any indirect, incidental, special, consequential, or punitive damages (including lost profits, lost sales, or reputational harm).

  • We do not warrant that door hanger advertising will generate any particular number of leads, calls, or sales.

10. Indemnification

You agree to indemnify and hold Proofts, its owners, employees, and agents harmless from any claims, damages, losses, or expenses (including reasonable attorneys’ fees) arising from:

  • Your door hanger content (e.g., copyright infringement, defamation)

  • Your violation of any law or third‑party right

  • Your use of our QR code service (e.g., links to harmful or illegal content)

11. Intellectual Property

  • “Proofts”, our logo, and all website content (except client designs) are our property. You may not copy or reuse them without written permission.

  • Any feedback or suggestions you provide about our Service may be used freely by us without compensation.

12. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Texas, without regard to conflict of laws principles.

Dispute resolution: Before filing a lawsuit, you agree to contact us and attempt to resolve the dispute informally for at least 30 days. If unresolved, any legal action must be brought exclusively in the state or federal courts located in [Your County, e.g., Harris County], Texas. You waive any right to a jury trial or to participate in a class action.

13. Changes to These Terms

We may update these Terms from time to time. The latest version will always be posted on this page with a new “Last updated” date. Your continued use of our Service after changes constitutes acceptance.
